Terms of Service
Last updated: October 23, 2026
These Terms of Service ("Terms") are the agreement between you and the operator of WizFalcon. They explain what WizFalcon does, what you can expect from us, and what we expect from you. Please read them carefully. Where a section matters most to your money or your rights (plans and billing, refunds, your content, liability, and disputes), we have tried to say it plainly.
How we handle personal information is explained in our Privacy Policy, which forms part of these Terms.
1. Introduction and acceptance
1.1. These Terms govern your access to and use of WizFalcon at wizfalcon.com, including the website, the AI assistants, chat, uploads, image editing, exports, account features, plans and credits, and any related pages, emails or documentation (together, the "Service").
1.2. By using the Service in any way, including typing a request on the home page or in a chat, creating an account, signing in, or choosing a plan, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
1.3. If you use the Service on behalf of a company, store, agency or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.
1.4. Some features, offers or promotions may come with additional terms shown at the point where you use them (for example, on the pricing page or at checkout). Those terms are part of these Terms for that feature. If they conflict with these Terms, the feature-specific terms control for that feature only.
2. Who we are
2.1. The Service is operated under the name WizFalcon ("WizFalcon," "we," "us," or "our").
2.2. You can reach us at support@wizfalcon.com. See Section 32.
3. Definitions
In these Terms:
- "AI assistant" means one of the channel-specific assistants offered in the Service, such as the Ecommerce, Social Media, Job Search and Local Business assistants. We may add, rename, combine or retire assistants over time.
- "Channel" or "platform" means a third-party website, marketplace, network or service where you intend to use Output, for example Amazon, Etsy, eBay, Shopify, TikTok Shop, Walmart, Instagram, LinkedIn, Google Business Profile, Yelp, or an employer's job application system.
- "Your Content" means anything you provide to the Service: messages, instructions, product facts, profiles, resumes, job descriptions, reviews you want to reply to, links, images, files and other material.
- "Output" means text, edited images, files and other results the Service produces in response to Your Content.
- "Credits" means the usage units included with a plan and used to run tasks in the Service. On the Free plan, they make up the Free plan's monthly usage allowance.
- "Plan" means the Free plan or a paid subscription plan described on the pricing page.
- "Guest" means a person using the Service without signing in to an account.
4. Eligibility
4.1. You may not use the Service if you are barred from doing so under applicable law, if we have previously suspended or terminated your access, or if your use would violate these Terms or someone else's rights.
4.2. The Service is designed for people preparing their own work and for businesses preparing their own commercial content. It is not directed at children under 13 (see the Privacy Policy).
5. The Service
5.1. What WizFalcon does. WizFalcon is an AI content assistant. You tell an AI assistant what you need and which channel it is for, and the assistant helps you prepare content for that channel. Depending on the assistant and the plan, this can include:
- product listings, titles, descriptions, bullet points and store SEO fields for online marketplaces and stores;
- social media posts, captions and content plans;
- resumes, cover letters, LinkedIn profile text, freelance proposals and interview preparation;
- replies to customer reviews, business profile posts and business descriptions for local businesses; and
- editing images you upload, such as removing or replacing a background, and, on plans that include them, generating images and video.
5.2. Features depend on your plan. The Service works with text and with images you supply. Some plans also include image generation and video generation. The Service does not produce audio. The features available to you at any time are the ones shown in the Service for your plan.
5.3. You stay in control of publishing. The Service prepares drafts and files for you to review, copy, download or export. WizFalcon does not log in to your accounts on other platforms, does not post or publish anything on your behalf, does not reply to reviews on a platform for you, and does not submit job applications, proposals or messages for you. You decide whether, where and how to use any Output.
5.4. Quotes before paid work. For tasks that use Credits, the Service shows you the Credit cost before the task runs and asks you to approve it. A task starts only after you approve it.
5.5. Knowledge of platform rules. Our AI assistants are designed to take into account published rules and guidance of the channels they support. Platform rules are written and changed by those platforms, may differ by country, category or account, and may change without notice. See Section 14 and Section 15.
5.6. Not professional advice. The Service is a writing and editing tool. Nothing in the Service is legal, tax, financial, employment, immigration, career-counselling, medical or other professional advice. If you need such advice, consult a qualified professional.
6. Using WizFalcon without an account
6.1. You can start using the Service as a Guest, without creating an account. Guest use runs on the Free plan's monthly usage allowance and limits, together with additional safeguards that apply to signed-out use.
6.2. Guest use is tied to the browser and session you are using. If you clear your browser data, switch devices or browsers, or your session ends, you may lose access to Guest conversations and files. We do not guarantee that Guest work can be recovered.
6.3. Some features require an account, for example viewing saved history across devices, exporting certain records, managing a plan, or continuing after Guest limits are reached. When that happens, the Service will ask you to sign in. Where the Service supports it, a draft you were working on is kept so you can continue after signing in.
6.4. We may limit, pause or require sign-in for Guest use at any time to protect the Service, prevent abuse or manage capacity.
7. Accounts and sign-in
7.1. To create an account you sign in with a method the Service offers. Today that is Sign in with Google. The sign-in provider's terms also apply to your use of it.
7.2. You must give accurate information and keep it up to date. You are responsible for keeping your sign-in methods secure and for activity that happens through your account, unless it results from our own failure to apply reasonable security.
7.3. Tell us promptly at support@wizfalcon.com if you believe someone has accessed your account without permission.
7.4. One person, one Free allowance. Each person may use the Free allowance through one account (or one Guest session at a time). You may not create, buy, share or rotate accounts, sessions, email addresses, devices or networks to obtain additional free usage, to get around plan limits, or to avoid a suspension.
7.5. Accounts are personal to you or your organization. You may not sell, transfer or rent your account or its Credits to anyone else.
8. Plans, credits and limits
8.1. Plans. The Service is offered on these plans at the time of writing:
| Plan | Price | Credits included each month |
|---|---|---|
| Free | $0 | A monthly usage allowance |
| Starter | US$10 per month | 2,000 |
| Pro | US$50 per month | 12,000 |
| Max | US$100 per month | 30,000 |
Every plan includes all of the AI assistants and channels then offered. Paid plans offer higher limits and, on some plans, access to additional model tiers and longer history retention. The pricing page shows the current details of each plan, and the prices, Credits and limits shown there (or at checkout) when you subscribe control over this table.
8.2. What Credits are for. Each task you run uses Credits. Different tasks cost different amounts; for example, a chat reply costs less than a full listing or an image edit, and some tasks are priced by quantity (such as the number of reviews you ask replies for, or the number of platforms you adapt content to). The cost of a task is shown before you approve it.
8.3. Monthly allowance, no rollover. Your plan's Credits are made available for each monthly period. Unused Credits do not roll over. At the start of a new period your balance is reset to your plan's monthly allowance; unused Credits from the previous period expire at that time. Top-up Credits are not part of this allowance and never expire (see 9.10).
8.4. No overage. If you run out of Credits, new tasks will not start until your next monthly period begins, you move to a plan with more Credits or, where your plan offers it, you buy a top-up. We do not charge overage fees.
8.5. Credits have no cash value. Credits are not money, a deposit, electronic money, a gift card or a payment instrument. They cannot be sold, transferred, exchanged for cash or used outside the Service, except where the law requires otherwise.
8.6. Plan limits. Each plan has limits, for example on how many tasks can run at once, the number of items in a batch, the number of saved profiles, how quickly actions can be run, how long chat history and images are kept, and which model tiers are available. The main differences between plans are shown on the pricing page. A request that exceeds a limit may be refused or delayed, and the Service will usually tell you how to proceed.
8.7. Fair use and service protection. In addition to plan limits, we apply technical safeguards to keep the Service reliable, secure and fair for everyone. We do not publish the details of these safeguards. We may refuse, slow down or block traffic that looks automated, abusive or harmful, and we may change safeguards and limits when needed to protect the Service, respond to security or capacity issues, or meet legal or provider requirements.
8.8. Corrections. We may correct a Credit balance or ledger entry to fix a verified error, a duplicate entry, a failed or reversed payment, fraud, or abuse.
9. Paid subscriptions, billing and cancellation
9.1. Subscriptions renew automatically. Paid plans are subscriptions billed monthly or annually. Annual plans are billed once a year at the price shown, and their Credits still renew every month. When you subscribe, you authorize us (and the third-party payment platform that handles our payments) to charge the plan price, plus any applicable taxes, at the start of the subscription and again at the start of each following monthly or annual billing period until you cancel. The price, billing date and currency are shown before you confirm.
9.2. Payment processing. We accept major credit cards. Payments are handled by a third-party payment platform. Your payment details are entered with and handled by that platform under its own terms and privacy notice, and the checkout shows who processes the payment. We receive the information we need to manage your subscription, provide support, reconcile payments, prevent fraud and comply with law.
9.3. Currency and taxes. Prices are in USD. Sales tax, VAT, GST or similar taxes may apply depending on where you live. Any tax that applies is shown at checkout before you confirm the payment.
9.4. Credits on a paid plan. Your paid plan's Credits become available once the payment is confirmed by the payment platform. A checkout page, redirect or pending payment does not by itself add Credits.
9.5. Upgrades and downgrades. Upgrades take effect immediately, with credit for the unused part of your current plan. Downgrades take effect at the end of your current billing period.
9.6. How to cancel. You can cancel a paid subscription at any time from your account, through the payment platform, or by emailing support@wizfalcon.com. Your paid plan stays active until the end of the month or year you have already paid for, and it does not renew. At the end of that period your account returns to the Free plan, and the Free plan's usage allowance, limits and history retention apply from then on.
9.7. History after a plan ends. Different plans keep chat history and images for different lengths of time (see the pricing page). When your plan changes, the retention period of your new plan applies, and older conversations or images beyond it may be deleted. Download anything you want to keep before changing or cancelling a plan. Details are in the Privacy Policy.
9.8. Failed payments. If a renewal payment fails, we or the payment platform may retry it. If it still cannot be collected, we may downgrade, suspend or end the paid plan.
9.9. Price changes. We may change plan prices or what a plan includes. We will give you reasonable advance notice of a price increase for your plan by email or in the Service. The new price applies from your next billing period after the notice period. If you do not agree, you can cancel before the change takes effect.
9.10. Credit top-ups. Credit top-ups are available on Starter, Pro and Max only. They cost $1 for 150 Credits, in packs of $10 (1,500 Credits), $25 (3,750 Credits), $50 (7,500 Credits) and $100 (15,000 Credits). Top-up Credits never expire. Your plan's monthly Credits are always used first, and top-up Credits after them. Top-up Credits can be used only while you are on a paid plan. If you cancel, they stay on your account and work again when you resubscribe.
10. Refunds
10.1. 14-day refund. You can get a full refund within 14 days of a new subscription charge or a renewal charge, monthly or annual, if you have used little or none of the plan's Credits.
10.2. After 14 days. After those 14 days, there are no prorated refunds, except where the law requires one.
10.3. Top-ups. You can get a refund for an unused top-up pack within 14 days of purchase. Used top-up Credits are non-refundable.
10.4. Refunds required by law. Where applicable law, such as mandatory consumer protection law where you live, gives you a right to a refund that cannot be waived by contract, we will provide that refund. Such a refund may be issued automatically, to the original payment method, through the payment platform.
10.5. Where you break these Terms. If we suspend or terminate your account because you violated these Terms, engaged in fraud or abuse, created a security risk or misused payment systems, no refund is due, except where the law requires otherwise.
10.6. Your legal rights. Nothing in this Section limits any right to a refund, cancellation or withdrawal that you have under laws that cannot be waived by contract, including consumer laws where you live.
10.7. Billing questions. If you want a refund, believe you were charged in error, or believe that applicable law gives you a right to a refund, contact support@wizfalcon.com from the email address on your account, with the date of the charge and any receipt reference. Please do not send full card numbers.
11. Billing corrections and payment disputes
11.1. If you believe you were charged incorrectly, please contact us first at support@wizfalcon.com. We will look into it and correct a verified duplicate charge, a confirmed payment that was not applied, or another billing error.
11.2. If a payment is disputed, charged back, reversed or reported as unauthorized, we may pause the related paid plan, reverse Credits tied to that payment, and restrict the account while the matter is reviewed. We may share relevant payment, account and usage records with the payment platform in connection with the dispute.
11.3. Nothing in this Section stops you from contacting your bank or card issuer, or limits a right you have under applicable law.
12. Your Content
12.1. You keep your rights. You keep whatever rights you have in Your Content. We do not claim ownership of Your Content.
12.2. Licence you give us. You grant WizFalcon and the service providers working for us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, analyse, adapt and display Your Content, only as needed to provide, maintain, secure and support the Service for you, including generating Output, keeping your history for your plan's retention period, enforcing these Terms, and complying with law. This licence ends when Your Content is deleted from the Service, except for copies we must keep for legal reasons or that remain for a limited time in backups, as described in the Privacy Policy.
12.3. No training, no advertising use and no sale. We do not use Your Content or Output to train AI models. We do not sell Your Content, and we do not use it to advertise to others or publish it.
12.4. Your promises about Your Content. You confirm that:
- you own Your Content or have all the rights, licences and permissions needed to submit it and to let us process it as described in these Terms;
- if Your Content includes personal information about other people (for example, a reviewer's name, a customer's message or a colleague's details), you have a lawful basis to share it and you share only what is needed for the task; and
- Your Content and our processing of it as you direct does not infringe anyone's intellectual-property, privacy, publicity, confidentiality, contractual or other rights, or break any law.
12.5. Keep your own copies. The Service keeps history and files only for the retention period of your plan, and Guest history depends on your browser. The Service is not a backup or archive. You are responsible for keeping copies of anything you need.
12.6. Facts you provide. Our AI assistants are built to work from the facts you give them, such as product specifications, your actual work history, or your business details. The accuracy of Output depends on the accuracy of what you provide.
13. Output
13.1. Ownership of Output. As between you and WizFalcon, and to the extent the law allows, you own the Output produced for you, and we assign to you any rights we may have in it. You may use Output for any lawful personal or commercial purpose, subject to these Terms and the rights of others.
13.2. Limits on what we can give you. Some Output may not be protected by copyright or other rights in some countries, because it was produced with the help of AI. We cannot give you rights we do not have, and we do not grant rights in third-party material contained in Your Content (for example, a brand logo in a product photo you upload).
13.3. Output may be similar for others. AI systems can produce similar results for different users, especially for short or common phrases. Output created for other users is not your Output, and you do not get exclusive rights in ideas, styles, formats or common wording.
13.4. Our use of Output. Output is covered by the same licence and limits as Your Content in Section 12.
14. Reviewing Output before you use it
14.1. AI can be wrong. Output is produced automatically and may be inaccurate, incomplete, out of date, inconsistent with your instructions, or unsuitable for your purpose. It can contain errors about products, prices, specifications, dates, qualifications, business details or platform rules. Edited images may have flaws around edges, text, labels, reflections or fine detail.
14.2. You must review it. Before you publish, post, submit, send or rely on any Output, you are responsible for reviewing it, correcting it, and making sure it is true, lawful and appropriate. This includes checking that product claims are accurate and supported, that a resume or cover letter reflects your real experience, that a review reply is fair and does not reveal personal information, and that any required disclosures are included.
14.3. Platform rules are your responsibility. Each platform sets its own policies (for example, marketplace listing and image requirements, social network community guidelines, review platform rules, and employer application rules). Our AI assistants are designed to help you follow rules that platforms publish, but we do not guarantee that any Output complies with a platform's current policies, or that a platform will accept, approve, rank, recommend, show or keep your content. Platforms may also enforce rules that are not public. You are responsible for checking and complying with the current rules of each platform you use.
14.4. No guaranteed results. We do not promise any particular result from using Output, such as more sales, traffic, followers, engagement, reviews, ratings, interviews, job offers or search ranking. Where the Service shows research or statistics about what tends to perform well, it is general information from the sources cited, not a prediction or promise for your content.
14.5. Laws that apply to your content. You are responsible for making sure your use of Output complies with laws that apply to you, including advertising and consumer-protection laws, endorsement and review rules, product-labelling and safety rules, employment and anti-discrimination laws, data-protection laws and intellectual-property laws.
15. Third-party platforms, affiliation and trademarks
15.1. No affiliation. WizFalcon is independent. We are not affiliated with, endorsed by, sponsored by or approved by Amazon, Etsy, eBay, Shopify, TikTok, Walmart, Instagram, Meta, LinkedIn, Google, Yelp, Airbnb, Workday, Greenhouse, Lever, the makers of the AI models named in the Service, or any other platform, employer or company named in the Service, unless we say so expressly.
15.2. Trademarks. The names, logos and marks of those platforms and companies belong to their owners. We use them only to identify the platforms our AI assistants are set up for, to indicate which AI models the Service can use, or to cite the sources of information. This use does not imply any relationship or endorsement.
15.3. Third-party sites and links. The Service may link to third-party websites, including the sources of platform rules and research. We do not control those sites and are not responsible for their content, availability or practices. Your use of a third-party platform is governed by that platform's own terms, and nothing in these Terms changes your obligations to it.
15.4. Platform actions. We are not responsible for actions taken by a third-party platform, such as removing a listing, suspending a seller or social account, filtering a review reply, rejecting an application, or changing its policies or algorithms.
16. Acceptable use
You must use the Service lawfully and responsibly. You must not use the Service, or help or allow anyone else to use it, to:
Deceive or mislead
- create fake reviews, testimonials, ratings or endorsements, write reviews as if they came from customers, or write reviews of your own or a competitor's business;
- offer incentives for reviews, or ask only satisfied customers for reviews ("review gating"), where this is prohibited by law or by the platform;
- make false, misleading or unsupported claims about products, services, prices, origins, certifications, health benefits, results or availability;
- invent or exaggerate qualifications, employers, job titles, dates, degrees, licences or other facts in resumes, cover letters, profiles or applications;
- hide text, invisible keywords or instructions aimed at applicant-tracking systems, AI screeners, search engines or other automated systems;
- present content as written by a human where the law or a platform requires AI involvement to be disclosed, or try to evade tools that detect AI-generated text in settings where that would be dishonest (for example, academic or employment assessments); or
- impersonate any person, business or organization, or misrepresent your affiliation with anyone.
Harm others or break the law
- create or share illegal content, or content that promotes or facilitates illegal activity, including the sale of prohibited or regulated goods in breach of the law or platform rules;
- harass, threaten, defame, bully, intimidate or discriminate against anyone, including in replies to reviewers;
- disclose other people's personal information without a lawful basis, or use the Service for surveillance, profiling or tracking of individuals;
- create sexual content involving minors, non-consensual intimate imagery, or other sexually exploitative content;
- edit images to create deceptive likenesses of real people, falsify documents or evidence, or remove watermarks or rights-management information you are not entitled to remove;
- infringe or misappropriate intellectual-property, privacy, publicity or other rights; or
- send spam or carry out phishing, scams or fraud.
Misuse or attack the Service
- access the Service through automated means (bots, scripts, scrapers, crawlers) except through features we expressly provide, or scrape or harvest data, Output or content from the Service;
- copy, reverse engineer, decompile, disassemble or try to extract the source code, models, prompts, instructions, knowledge, rules data or other non-public parts of the Service, except where the law expressly allows this despite this restriction;
- try to make the AI assistants reveal or ignore their instructions, or otherwise manipulate them into breaking these Terms;
- bypass or try to bypass sign-in, verification, Credit charges, plan limits, rate limits, usage caps, safety checks or other technical restrictions;
- create or use multiple accounts or sessions, or rotate devices, browsers, networks or identities, to obtain extra free Credits or to evade limits or enforcement;
- resell, sublicense, rent or share access to the Service or your account, or use the Service to build or train a competing product or AI model;
- upload malware, harmful code, or files designed to damage, overload or exploit the Service;
- probe, scan or test the security of the Service without our written permission, or access another person's account, conversations or files; or
- interfere with or disrupt the Service, its infrastructure, or other users' use of it.
We may investigate suspected violations and take any action described in Section 25. Our AI assistants may decline requests that appear to break these rules or a platform's published rules, and may suggest a compliant alternative instead.
17. Additional rules for specific kinds of work
These rules add to Section 16 for particular AI assistants.
17.1. Ecommerce. You are responsible for the accuracy of product information, including identifiers, specifications, materials, sizes, safety information, certifications and claims, and for having the rights to the product images you upload. Image edits are intended to prepare your own product images; you must not use them to misrepresent a product's appearance, condition, contents or features. Check each marketplace's current listing and image requirements before publishing.
17.2. Social Media. You are responsible for following each network's community guidelines, branded-content and paid-partnership disclosure rules, and advertising laws. Do not use the Service to create coordinated inauthentic activity, fake engagement or misleading endorsements.
17.3. Job Search. Resumes, cover letters, profiles, proposals and application answers must reflect your real experience and qualifications. The Job Search assistant is designed to work only from the facts you give it, and may leave gaps for you to fill rather than invent details. You submit applications yourself, and you are responsible for anything you submit to an employer, recruiter or platform. We do not guarantee that any applicant-tracking system will read or rank your documents in a particular way, or that you will be offered an interview or job.
17.4. Local Business. Review replies must be honest and respectful, must not threaten reviewers or accuse them without basis, and must not reveal customers' personal information or details of their visit or order that they did not share publicly. You must not use the Service to write reviews for your business, to solicit reviews where a platform forbids it, or to offer anything in exchange for reviews. You post replies and business updates yourself and are responsible for them.
18. Uploads and files
18.1. You may upload images and files in the formats the Service accepts. To keep the Service stable, there are technical limits on file size and on the number of attachments per message. If a file cannot be accepted, the upload controls will tell you.
18.2. Uploaded images may be checked, converted or have metadata (such as location data embedded by a camera) removed as part of processing. Not every file type is read for its contents; the Service will indicate how a file is used.
18.3. You must only upload material you have the right to use, and you must not upload content prohibited by Section 16, malware, or files designed to harm or overload the Service.
18.4. Uploaded files and edited images are kept for the image retention period of your plan, after which they may be deleted automatically. Download anything you want to keep. See the Privacy Policy.
18.5. Do not upload sensitive information you do not need for the task, such as government ID numbers, bank or card details, passwords, health information, or other people's private data.
19. AI processing and service providers
19.1. The Service uses third-party providers, including providers of AI models, web access, hosting, storage, authentication and payments, to deliver its features. Your Content is sent to these providers as needed to perform the task you request. Which providers are used, and how, may change over time.
19.2. The Privacy Policy describes the categories of providers we use and how personal information is handled.
19.3. Provider outages, changes or restrictions may affect the availability, speed, quality or features of the Service. We are not responsible for a third-party provider's failure, except to the extent the law makes us responsible.
19.4. Some model tiers are available only on certain plans. We may change which models power a feature at any time, provided the feature continues to work substantially as described.
20. Advertising
20.1. The Service may display advertising or promotional content in parts of the website or the product, including ads served by third-party advertising partners such as Google AdSense. Ads may be shown differently depending on your plan.
20.2. Advertising is identified as such. We do not use Your Content or Output to write ads or to target ads at others. Advertising partners may use cookies and similar identifiers to show and measure ads. Where the law requires it, we ask for your consent first. How this works, and how to opt out of personalized ads (including through Google Ads Settings), is described in the Privacy Policy.
20.3. Your dealings with advertisers are solely between you and the advertiser. We do not endorse advertised products or services and are not responsible for them.
21. WizFalcon's intellectual property and your licence to use the Service
21.1. The Service, including its software, design, text, graphics, the WizFalcon name, the falcon logo and assistant characters, and all underlying technology, content and know-how, is owned by or licensed to us and protected by intellectual-property laws. These Terms do not transfer any of these rights to you, other than the limited licence below and your rights in Output under Section 13.
21.2. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own lawful personal or business purposes.
21.3. You may not use the WizFalcon name, logo or assistant characters in a way that suggests our endorsement or affiliation, without our written permission.
22. Feedback
If you send us ideas, suggestions, bug reports or other feedback, you allow us to use it to improve the Service or for any other purpose, without payment or attribution to you and without any obligation to adopt it. Do not send feedback that you consider confidential.
23. Copyright and other intellectual-property complaints
23.1. We respect intellectual-property rights. If you believe material in the Service infringes your copyright or other rights, send a notice to support@wizfalcon.com with the subject line "IP complaint", including:
- your name, address, telephone number and email address;
- a description of the work or right you believe has been infringed;
- a description of the material you believe is infringing and enough information for us to locate it;
- a statement that you have a good-faith belief that the use is not authorized by the rights owner, its agent or the law;
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are the rights owner or authorized to act on its behalf; and
- your physical or electronic signature.
23.2. We may remove or disable access to material, notify the user who provided it, and forward the notice to them. If you believe material was removed by mistake, you may send a counter-notice to the same address with your contact details, identification of the material, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, and your signature.
23.3. We may suspend or terminate the accounts of users who repeatedly infringe others' rights.
23.4. Most material in the Service is private to the user who created it and is not published by us. If your concern is about content someone posted on another platform, please also report it to that platform.
24. Availability and changes to the Service
24.1. We work to keep the Service available and reliable, but we do not promise that it will be uninterrupted, error-free, available at any particular time or place, or compatible with every device or browser. No service-level commitment applies unless we agree one with you in writing.
24.2. We may add, change, limit, suspend or remove features, AI assistants, supported platforms, plans, model tiers, limits or other parts of the Service. Where a change materially reduces what a paid plan includes during a billing period you have paid for, we will give reasonable notice where practical, and you may cancel as described in Section 9.
24.3. We may carry out maintenance, which may make the Service temporarily unavailable.
25. Suspension and termination
25.1. By you. You can stop using the Service at any time. You can delete your account in account settings or by contacting us. Cancelling a paid plan is described in Section 9.6. Deleting your account deletes your saved history and files as described in the Privacy Policy and cannot be undone, and any remaining Credits are lost.
25.2. By us. We may refuse a request, remove Output or Your Content from the Service, limit features, or suspend or terminate your access or account if we reasonably believe that:
- you have broken these Terms or the law;
- your use creates a risk or possible legal exposure for us, other users, our providers or third parties;
- you have engaged in fraud, abuse, or an invalid payment reversal;
- we are required to by law or by a provider; or
- we are discontinuing the Service.
25.3. Notice. Where reasonably practical, we will tell you why and give you a chance to fix the problem. We may act without notice where delay could cause harm, enable continued abuse, compromise an investigation, or conflict with legal requirements.
25.4. Effect. When access ends, your right to use the Service ends, running tasks may stop, and unused Credits are lost. Refunds after termination are governed by Section 10. You must not create a new account to get around a suspension or termination.
25.5. Survival. Sections that by their nature should continue after termination continue, including those on payment obligations, Your Content and Output, intellectual property, disclaimers, limitation of liability, indemnification, disputes and general terms.
26. Disclaimers
26.1. To the fullest extent permitted by law, the Service and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and that the Service will be uninterrupted or error-free.
26.2. Without limiting the above, we do not warrant that:
- Output will be accurate, complete, original, unique or free of errors;
- Output will comply with any platform's policies or any law;
- any platform will accept, approve, rank or display your content;
- using the Service will produce any business, career or other result; or
- information about platform rules or research shown in the Service is complete or current.
26.3. Some jurisdictions do not allow certain warranties to be excluded. In those places, the exclusions above apply only to the extent permitted, and any warranty that cannot be excluded is limited to the shortest period allowed by law.
27. Limitation of liability
27.1. To the fullest extent permitted by law, WizFalcon and its owners, personnel, contractors, affiliates and providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, sales, business, opportunity, goodwill, reputation, data, or the cost of substitute services, arising out of or related to the Service, Output or these Terms, even if we were told such damages were possible.
27.2. This includes, for example, losses resulting from a platform removing your listing or suspending your account, from content you published, from a job application outcome, or from a reply to a review.
27.3. To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) US$50.
27.4. These limits apply to all theories of liability, including contract, tort (including negligence), strict liability and statute, and even if a limited remedy fails of its essential purpose.
27.5. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, for death or personal injury caused by negligence, or rights you have as a consumer that cannot be waived.
28. Indemnification
28.1. To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless WizFalcon and its owners, personnel, contractors, affiliates and providers from any third-party claims, and related losses, damages, liabilities, costs and reasonable legal fees, arising from:
- Your Content;
- your use of Output, including anything you publish, post, submit or send;
- your breach of these Terms or of any platform's terms; or
- your violation of any law or of anyone else's rights.
28.2. We will notify you of a claim where practical. You may not settle a claim in a way that admits fault on our part or imposes obligations on us without our written consent. If you are a consumer, this Section applies only to the extent permitted by the law where you live.
29. Disputes and governing law
29.1. Talk to us first. Most concerns can be solved quickly. Before starting any formal proceedings, please email support@wizfalcon.com with a description of the issue and what you are asking for, and give us a reasonable time to try to resolve it informally. This does not prevent either party from seeking urgent relief or acting to meet a legal deadline.
29.2. Governing law. These Terms and any dispute arising out of or related to them or the Service are governed by the laws that apply where you reside, including any mandatory consumer protection laws there.
29.3. Where disputes are decided. A dispute that is not resolved informally may be brought before the courts that have jurisdiction under that applicable law. Nothing in these Terms takes away your right to bring proceedings in the courts where you live where the law gives you that right.
30. Changes to these Terms
30.1. We may update these Terms from time to time, for example to reflect changes to the Service, our plans, the law or our practices. We will post the updated Terms on this page and change the "Last updated" date.
30.2. If a change is material, we will give reasonable advance notice, for example by email to signed-in users or by a notice in the Service, before it takes effect. Changes will not apply retroactively.
30.3. If you keep using the Service after the updated Terms take effect, you accept them. If you do not agree, stop using the Service and cancel any paid plan before the changes take effect. Where the law requires your express consent to a change, we will ask for it.
31. General terms
31.1. Entire agreement. These Terms, the Privacy Policy and any feature-specific terms referred to in them are the entire agreement between you and us about the Service, and replace any earlier agreements on the subject.
31.2. Severability. If any part of these Terms is found invalid or unenforceable, that part will be limited or removed to the minimum extent needed, and the rest will remain in effect.
31.3. No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
31.4. Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate, provided your rights under these Terms are not reduced.
31.5. Relationship. These Terms do not create any partnership, joint venture, employment, agency or fiduciary relationship between you and us.
31.6. Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, power or internet failures, provider outages, labour disputes, war, civil unrest or government action.
31.7. Export and sanctions. You may not use the Service if you are located in, or are a resident of, a country or region subject to comprehensive sanctions, or if you are on a government list of restricted parties, where providing the Service to you would be unlawful.
31.8. Notices. We may send you notices by email to the address on your account or by posting them in the Service. You may send notices to us at support@wizfalcon.com.
31.9. Language. These Terms are written in English. If we provide a translation, the English version controls to the extent permitted by law.
31.10. Headings. Headings and summaries are for convenience only and do not change the meaning of these Terms. "Including" means "including without limitation."
